This is a license agreement and not an agreement for sale. Imspace Systems hereby grants to you a non-exclusive, non-transferable license to use only one copy of the Software in the manner specified below according to the following terms and conditions:
STANDARD USE LICENSE
For stand-alone/single computer use of software you may:
* install the Software on one computer; or
* transfer the Software from one computer to another (either by electronically downloading the Software or by making a copy of the Software diskettes) provided that the software is installed on one computer at a time.
- OR - For concurrent use of the software on a LAN you may:
install the Software on only one network server and concurrently have a single user access the Software from such network; or
increase by one (1) count the number of concurrent users entitled to use the Software on a network server.
YOU MAY NOT:
* Simultaneously use the Software on more than one computer at a time, regardless of whether such computer is a stand-alone unit, a portable unit or part of a computer network.
* Use, copy, transfer copies of this Software except as provided in this License Agreement.
* Alter, merge, modify or adapt this Software in any way including disassembling or decompiling .
* Loan, rent, lease, or sub license this Software or any copy.
LIMITED WARRANTY
You assume all responsibility for the selection of the Software as appropriate to achieve the results you intend. Imspace Systems warrants that the enclosed diskette medium upon which the Software is recorded shall be free from defects in material and workmanship under normal use and condition, and that the Software shall perform substantially as described in its documentation for a period of thirty (30) days from purchase. EXCEPT FOR THE FORGOING LIMITED WARRANTY, THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OR CONDITION OF ANY KIND EITHER EXPRESSED OR IMPLIED, STATUTORY OR IN ANY COMMUNICATION WITH YOU, AND SPECIFICALLY DISCLAIMS ANY IMPLIED WARRANTIES OF NON-INFRINGEMENT, MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.
The warranty and remedies set forth above are exclusive and in lieu of all others, oral, written, express or implied. No Imspace Systems dealer, distributor, agent or employee is authorized to make any modification or addition to this warranty.
LIMITATION OF LIABILITY
IMSPACE SYSTEMS CORPORATION'S TOTAL LIABILITY ARISING OUT OF THIS LICENSE AND YOUR USE OF THE SOFTWARE AND DOCUMENTATION PURSUANT TO THIS LICENSE WILL BE LIMITED TO THE AMOUNT YOU PAID FOR THIS SOFTWARE LICENSE. IN NO EVENT WILL IMSPACE SYSTEMS CORPORATION BE LIABLE FOR ANY LOSS OF DATA, LOST PROFITS, COST OF COVER OR OTHER SPECIAL, INCIDENTAL, CONSEQUENTIAL OR INDIRECT DAMAGES ARISING OUT OF THIS LICENSE OR THE USE OF THE PROGRAM OR ACCOMPANYING DOCUMENTATION, HOWEVER CAUSED AND ON ANY THEORY OF LIABILITY. THIS LIMITATION WILL APPLY EVEN IF IMSPACE SYSTEMS CORPORATION OR AN AUTHORIZED DEALER HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGE, AND NOTWITHSTANDING ANY FAILURE OF ESSENTIAL PURPOSE OF ANY LIMITED REMEDY. YOU ACKNOWLEDGE THAT THE LICENSE FEE REFLECTS THIS ALLOCATION OF RISK.
U.S. GOVERNMENT RESTRICTED RIGHTS
The enclosed software and documentation are provided with RESTRICTED AND LIMITED RIGHTS. Use, duplication, or disclosure by the Government is subject to restrictions as set forth in FAR 52.227-14 (June 1987) Alternate 111(g)(3) (June 1987), FAR 52.227-19(June 1987), or DFARS 252.227-013 (c)(1)(ii)(June 1988), as applicable. GENERAL This Agreement will be governed by the law of the State of California, without reference to conflict of laws principles. . This Agreement is the entire agreement between us and supersedes any other communications or advertising with respect to the program and accompanying documentation. . If any provision of this Agreement is held invalid, the remainder of this Agreement shall continue in full force and effect. . The export of this product is restricted by U.S. Export regulations.
